ARTICLE IX
DUTIES AND POWERS OF THE BOARD OF DIRECTORS
9.1 Management of Association. The Board of Directors shall have general charge in management of the affairs, funds and property of the Association. The Board shall have full power, and it shall be the Board’s duty, to carry out the purposes of the Association according to its Articles of Incorporation and Bylaws; to determine whether the conduct of any members is detrimental to the welfare of the Association; and to fix a penalty for such misconduct or any violation of the Bylaws or rules.
9.2 Rule Making. The Board of Directors may make rules for the conduct of the members and the use of the Association property, and define and limit the duties and privileges of the members, not inconsistent, however, with anything set forth in these Bylaws.
9.3 Appointment of Committees. The Board of Directors or the President may appoint such committees as it deems necessary. The Board of Directors may vote the expenditure of monies as it deems necessary or advisable; and the Board of Directors may contract for the lease or purchase in the name of the Association of property or facilities for the use of the members.
9.4 No Authority to Impose Liability on Members. The Board of Directors shall not impose any liability or levy an assessment upon the members, except as set forth in these Bylaws.
9.5 Place of Directors’ Meetings. The meetings of the Directors may be held in such place or places within or without the State of Michigan which they shall deem appropriate.
ARTICLE X
COMPENSATION OF DIRECTORS AND OFFICERS
10.1 Neither the officers, directors nor members serving on committees shall receive any salary or compensation for services rendered to the Association, except for industry specific training by qualified personnel provided to members of the association and approved by two-thirds (2/3) of the Board of Directors.
ARTICLE XI
APPLICATION FEES AND MEMBERSHIP DUES
11.1 Membership Dues. The annual membership dues of members for each twelve month period, commencing with the year 1981, shall be determined by the Board of Directors. If an applicant shall become a member for less than one (1) full twelve month period, then the membership dues shall be prorated on a monthly basis over the unexpired calendar year for which such membership dues have been assessed. All applications for memberships must be accompanied by the first year’s dues; in the event the applicant is not accepted, the first year’s dues will be returned to them.
11.2 Time for Payment of Membership Dues. The annual membership dues shall be payable by all members on or before April 1 of each year and shall be paid to the Association.
11.3 Loss of Privileges and Membership. Any members whose dues remain unpaid after June 30 shall automatically cease to be a
member.
ARTICLE XII COMMITTEES
12.1 The Board of the Directors and/or the President is empowered to establish and appoint such committees as he or they deem necessary for the fulfillment of the purposes and objectives of the Association. They may include, but are not limited to, a budget committee, supplier relations committee, insurance relations committee, and grievance committee, Underwriter Laboratories and an FPS Liaison Committee, convention committee, legislative committee, membership committee and nominating committee.
