Sheppard Mullin lawyers work on a wide range of litigation and transactions to help our clients succeed. Here are just a few examples of our work over the last quarter:
FoxWayne Enterprises – Sheppard Mullin advised FoxWayne Enterprises Acquisition Corp. (NASDAQ: FOXW, FOXWW), a special purpose acquisition company (SPAC), with its recently announced proposed business combination transaction with Clover, Inc., a mobile live streaming and dating platform providing social connection and community focused on the Gen Z and Millennial audiences and creators. FoxWayne will issue 15.7 million shares of its common stock, worth roughly $157.45 million, as part of the transaction. The deal team was led by New York partners Richard Friedman and John Hempill.
Greenbacker Renewable Energy – The firm represented Greenbacker Renewable Energy Company LLC (“Greenbacker”), a leading green energy investment company and independent power producer, in its senior credit agreement of $186.2 million with KeyBank N.A. and Fifth Third Bank to support the construction of two of the biggest solar projects in Greenbacker’s history, MTSun and Fall River solar farms. The MTSun and Fall River solar farms, located in Yellowstone County, Montana, and Fall River County, South Dakota, will be among the largest solar energy facilities in their states. The solar farms are expected to power more than 34,000 homes across the two states, offsetting more than 260,000 metric tons of carbon emissions. The transaction is one of Greenbacker’s major standalone debt financings to date, ranking among the company’s five greatest clean energy projects. Chicago partner Laurette Petersen led the deal for Greenbacker.
Henlius Biotech – We represented Henlius Biotech, Inc. (2696.HK) (“Henlius”), a global biopharmaceutical company based in Shanghai, China, in three recent out-licensing deals. The most recent representation was in Henlius’ exclusive license to Organon LLC (“Organon”), a wholly-owned subsidiary of the global healthcare company Organon & Co. (NYSE: OGN) formed through a spin-off from Merck & Co., Inc. (NYSE: MRK), to commercialize Henlius’ independently developed HLX11 (pertuzumab biosimilar) and HLX14 (denosumab biosimilar) globally except for mainland China, Hong Kong, Macau and Taiwan. Organon also has an option to negotiate an exclusive license for global commercialization rights for HLX13 (ipilimumab biosimilar). Un- der the agreement terms, Henlius may receive up to a total of $541 million, including a $73 million upfront payment. The deal team was led by Shanghai partner Harris Gao.
Joseph Phelps Vineyards – Sheppard Mullin represented Napa wine icon Joseph Phelps Vineyards, one of the best-known California wine makers famous for its premium Insignia label and a crown jewel of the Napa Valley and Sonoma Coast, in its acquisition by Moët Hennessy, the world-leading luxury wine and spirits division of LVMH. The deal closed in August and was led by San Francisco partner Stephanie Zeppa.
Teen Line – The firm represented Teen Line, the leading global teen-to-teen peer support line and youth-cen- tered mental health organization, in its acquisition by Los Angeles-based Didi Hirsch Mental Health Services, the nation’s premier suicide prevention center and a leading provider of whole-person mental health and crisis care for 80 years. For over 40 years, Teen Line has provided support, resources and hope to young people through its hotline, taking calls, texts and emails by professionally trained teen and youth counselors and outreach programs. Los Angeles partner David Sunkin and New York partner Jay Gerzog led this deal.
TelevisaUnivision – We represented Spanish-language media giant, TelevisaUnivision, in connection with “Koati, the Series,” an original animated program based on the recent motion picture regarding a family of exotic animals living in the rainforests of Latin America. The firm negotiated deals with the producers of the series and the services of Sofia Vergara (Modern Family, Chef) who will be involved with the development and production of the series and will be voicing one of the characters. The original “Koati” film is currently streaming on the ViX streaming platform and “Koati, the Series” will also stream on ViX. Century City partner Bob Darwell led this project with Century City associate Alex Akhavan.
