                                 2023 Annual General Meeting
Note these are proposed minutes,
subject to adoption at the 2024 AGM
Minutes of the AGM held on Friday 15th September 2023 from 16.00 pm to 16.30 pm at The Orangery, Newby Hall, Ripon HG4 5AE. Approximately 60 members were present.
1. Welcome
Sandra Hall opened the AGM and welcomed everyone present.
2. Apologies for Absence.
Jean Forrester, Lesley Stone, Chris Spree, Grant Cathro.
3. Chair’s Report.
Sandra Hall delivered her report, which is appended to these minutes.
4. President’s address.
Medwyn Williams began by asking members to stand to observe a minute’s silence in remembrance of fellow members of the Society who had sadly passed away in the last year. Medwyn then delivered his address, which is appended to these minutes.

8. To receive the Annual Report of the Trustees for 2022/23
Fiona Shenfield had prepared the Annual Report of the Trustees, which she read out and which is appended to these minutes.
9. To receive the Annual Report and Accounts for year end 2022
Fiona Shenfield pointed out that the audited accounts had been published in Summer 2023 Simply Vegetables magazine and on the website and copies had been circulated prior to the meeting. No comments had been received regarding the accounts. Acceptance proposed by Ian Simpson, seconded by David Thornton. No objections.
10. To consider the Election of an Independent Examiner
It was reported that the Treasurer, Jean Forrester, considered it appropriate to retain the current independent examiner Cutler & Co. Chartered Certified Accountants Leeds. Acceptance proposed by Geoff Wilson, seconded by Frank Taylor. No objections.
11. Proposed NVS rule changes
It was proposed that the role of Social Media Officer be added to the committee of Trustees. This was on the basis that dividing the roles of Webmaster and Social Media Officer would them more attractive to volunteers. Acceptance proposed by Geoff Wilson, seconded by Adrian Read. No objections.
12. To Consider the election of the following new position
Appointment passed on show of hands.
13. Any other business

14. Meeting closed.
Sandra Hall closed at the meeting 16:30 and thanked everyone for attending. The presentation of trophies and awards followed the AGM.
The above positions were agreed individually by show of hands. It was noted that although the Treasurer must be voted in for a tenure of three years, Jean Forrester has informed the Trustees that she wishes to retire from this role at the 2024 AGM, to provide time for succession planning.
Both Michelle Nixon and Chris Spree were co-opted into their respective roles by the Trustees in October 2022. However it was necessary that both appointments be formally ratified at this meeting.
No nominations had been received for the position of Webmaster, and there were no nominations from the floor.
6. Minutes of the 2022 AGM (held in Malvern)
The 2022 minutes were published both in Summer 2023 Simply Vegetables magazine and are appended to these 2023 minutes. No comments had been received. Acceptance proposed by Jim Pearson, seconded by Mick Shipley. No objections.
