(“Membership List”) Except as otherwise provided by by these Bylaws or or or or or by by the the the the the the the Colorado Cooperative Cooperative Act a a a a a a a a a a a a a a a a Person may not not inspect copy copy or or or receive a a a a a a a copy copy of of of all or or or part of of of the Membership List or or or a a a a a a a similar list of of of Members Members The Cooperative will not not issue membership certificates Section 2 5 PURCHASE OF ELECTRIC SERVICE Each Member shall as as as soon as as as electric service is available purchase from the the Cooperative such electric service in in accordance with the the Governing Documents and applicable Law Members shall pay for costs
of such electric electric service service at at at rates set by the Board and follow applicable electric electric service service regulations or line extension policies Production
or use of of of of electric service on on a a a a Member’s premises regardless of of of of the the the source thereof by means of of of of facilities interconnected with the the the Cooperative’s facilities shall be subject to the the Governing Documents Amounts paid for electric service service in in excess of of the the cost of of service service are furnished furnished by Members as capital capital and each Member Member Member shall shall be be be be credited with the the capital capital so furnished furnished Each Member Member Member shall shall pay to the the Cooperative a a a a a a a a a a a minimum amount amount as established by the the Board regardless of of the the amount amount of of electrical service consumed Each Member shall pay pay all amounts owed to the the Cooperative as and and when the the same become due and and payable Section 2 6 TRANSFER OF MEMBERSHIP A A Member is prohibited from transferring its membership in in the Cooperative Section 2 7 SUSPENSION OF MEMBERSHIP (a) The Cooperative may suspend a a a a a a Member for the following reasons (“Suspension Reasons”):
(i) As provided in in the Governing Documents (ii) As determined by the Board for good cause (iii) The Member Member is no longer qualified to be be be a a Member Member (iv) The Member does not timely pay an undisputed amount due the Cooperative or (v) The member violates or does not timely comply with the Governing Documents (b) A Member Member Member is suspended upon the the the Cooperative: (i) providing the the the Member Member Member written notice of the the the Member’s possible suspension and the the the applicable Suspension Reason at least fifteen (15) days before the the the possible suspension (ii) notifying the the the Member that the the the Member Member has a a a a a a a a right to to and allowing the the the Member Member an an opportunity to to comment upon the the the Suspension Reason orally or or or in in in in writing for up to to five (5) days after the the the Cooperative provides the the the notice and (iii) determining to to suspend the the the Member (c) Upon a a a a a a a a a a Member’s suspension: (i) other other than than the the the Cooperative’s obligation to retire and and pay Capital Credits and and other other than than the the the Cooperative’s Cooperative’s obligations obligations regarding dissolution the the the Cooperative’s Cooperative’s duties obligations obligations and liabilities imposed by the the the Governing Documents for the the the Member cease cease and the the the Cooperative Cooperative may cease cease Providing a a a a a a a Cooperative Cooperative Service to the the the Member Member Member and and and (ii) other other than than the the the the Member’s Member’s right right to receive retired and and and paid Capital Credits and and and other other than than the the the the Member’s Member’s rights upon the the the Cooperative’s dissolution the the the Member forfeits and relinquishes rights provided in in in in the the the Governing Documents but remains subject to obligations imposed by the Governing Documents In particular a a a a a a suspended Member may not not receive notice nominate vote
remove demand request petition consent or otherwise act as provided in in the the Governing Documents (d) Unless the the the the Cooperative determines otherwise a a a a Member’s suspension is is lifted upon the the the the Member Member rectifying the the the the applicable Suspension Reason The Cooperative may lift a a a a a a Member suspension for good cause determined by the Board Section 2 8 TERMINATION OF MEMBERSHIP (a) A Member may withdraw from membership in in compliance with with the Governing Documents (b) The Board may by the the affirmative vote
of of not less than two-thirds of of the the Directors expel any Member who fails to to comply with any of of the the the provisions of of the the the Governing Documents but only if such Member is is given written notice by the the the Cooperative that such such such failure failure makes the Member liable to expulsion and such such such failure failure continues for at at least ten (10) days after such such such notice was given Any expelled Member may be be reinstated by majority vote
of the Board (c) Upon the the withdrawal death cessation of of corporate existence or or or expulsion the the membership of of such Member shall terminate Termination of membership shall not release a a a a a a a Member Member or or the the Member’s estate from any debts or or obligations due to the the Cooperative ARTICLE 3 – MEETINGS OF MEMBERS Section 3 1 ANNUAL MEMBER MEETINGS The The Cooperative shall annually hold a a a a a a meeting of Members (“Annual Member Member Meeting”) The The Annual Member Meetings shall be be held at at at at a a a a a a a a a a a a a a place within the the Service Area and and at at at at a a a a a a a a a a a a a a date and and time designated by the the Board The primary purposes of of the the the the Annual Member Meeting are the the the the election of of directors and such other business as the the the the Board may designate At the the the Annual Member Meeting: (1) the the the President may provide provide or or or or have provided a a a a a a a written or or or or oral report regarding the the the activities of the the the Cooperative and (2) the the the Treasurer may provide provide or or or or have provided a a a a a a a a a a a written or or or or oral report regarding the the the financial condition of of the the Cooperative Cooperative and any subsidiary of of the the Cooperative Cooperative Section 3 2 SPECIAL MEETINGS Special Special meetings of Members (“Special Member Member Meetings”) may be be be called by (1) resolution of of the the the Board or (2) by by the the the Secretary upon written request describing the the the specific purpose of of such meeting signed by by at least ten ten percent (10%) of of of all all Members (a (a “Member Petition”) The Board Board or or the the the the the Secretary Secretary shall determine the the the the the date time and location (any place within the the Service Area) of a a a a a a a Special Special Member Member Member Meeting Upon a a a a a a a Member Member Member Petition the the Secretary shall hold such requested Special Special Member Member Member Meeting Meeting within sixty days of of receipt of of such petition Costs for for Special Member Meetings convened in in in in in accordance with with the foregoing shall be be be be borne by the the Cooperative Special Member Member Member Meetings Meetings Meetings and Annual Member Member Member Meetings Meetings Meetings are collectively referred to in in in in these Bylaws as “Member Meetings ” Section 3 3 3 3 NOTICE OF MEMBERS’ MEETINGS As directed by the the President Secretary or or any other Officer or or Member properly calling the the the Member Member Meeting Meeting the the the Cooperative shall deliver written notice of a a a a a a Member Member Meeting Meeting personally or or by mail either with or or without other documents to all Members This notice will indicate the the the date time and and location of the the the meeting and and must be be delivered at at least ten (10) days days but no no more than forty-five (45) days days before the meeting For a a a a a a a a Special Member Meeting this notice must state the the the the purpose of of the the the the meeting Additionally the the the the date of of each Annual Member Meeting shall be be posted on on the the the the Cooperative’s web site and 21
