SUBSCRIPTION AGREEMENT (Canadian and Non-U.S. Subscribers Only)
TO: KVANTO PAYMENT SERVICES LTD. (the “Corporation”)
The undersigned (the “Subscriber”), on its own behalf, and, if applicable, on behalf of those for whom the undersigned is contracting hereunder as trustee or agent, hereby irrevocably subscribes for and agrees to purchase from the Corporation, in accordance with the terms and conditions of this Subscription Agreement, that number of common shares of the Corporation (the “Common Shares”) set out below, representing a subscription price of $0.16 USD per Common Share (the “Purchase Price per Common Share”). The Common Shares subscribed for herein are part of an offering by the Corporation of up to 19,000,000 Common Shares for aggregate subscription proceeds of up to $3,040,000. The Subscriber agrees to be bound by the terms and conditions set forth herein including without limitation the Subscriber’s representations, warranties and covenants set forth therein.
