According to this Agreement both Parties act as information Providers and Recipients:
2. PURPOSE OF THE AGREEMENT
The Provider has confidential information, documentation and know-how or any other form of information (hereinafter Confidential Information), which the Provider is willing to release to Recipient to be used for investment or joint business purposes defined in this Agreement.
The Recipient shall hold in confidence all Confidential Information and ideas of any kind relating to the collaboration with the Parties disclosed to it by the Provider.
The purpose of this Agreement is to prevent the Recipient to forward or other way release the Confidential Information to the Third Parties and to prevent to use Confidential Information in any other purpose than described in this agree- ment and in the co-operation agreement between the Parties. With this Agreement the Parties mutually agree about the conditions and other terms of using Confidential Information.
The purpose of this Agreement is to give a right to use Confidential Information only for following purposes:
Pre-IPO financing and public listing services supplied by Listing Partners LLC for Kvanto PaymentServices A/S No: 34702365.
3. THE DEFINITION AND IDENTIFICATION OF CONFIDENTIAL INFORMATION
Confidential Information is any Information in any format that has been included in released Information or the Recipient has got by any other way to its knowledge about the technology or method the Provider has developed or a singular informa- tion, know-how or the informational entity that two or more singular information or know-how form together or such information that has financial value for the Provider or information that, when kept as confidential, has value or is in favor for the business of the Provider or information that Provider is responsible to keep confidential.
Confidential Information can consist of technical information. For example but not limited to following issues: Methods, processes, formulae, compositions, systems, techniques, inventions, machines, computer programs and research projects.
Confidential Information can also include all kind of business information. For example but not limited to following issues: Patent and IP information, pricing data, sources of supply, financial data and marketing, production, merchandising systems or
plans in any way or format.
