OWNERSHIP AND RESTRICTIONS
Vendor shall continue to own all copyrights, trademarks and other proprietary rights in and to the ARTiculateRC Training course materials and content (“Vendor’s Intellectual Property”). Nothing herein conveys or may be deemed to convey any of Vendor’s rights, title or interest in and to Vendor’s Intellectual Property, except the limited non-exclusive license expressly set forth herein. The Client warrants and covenants that it shall not:

Remove or modify materials or any notice of Vendor’s proprietary rights, including without limitation logos and copyright and trademark notices;
Create new products or programs that are derived from Vendor’s Intellectual Property; or
Use any of Vendor’s logos, trademarks or name in any manner likely to cause confusion therewith in any portion of Customer’s own products, services, trade names or trademarks.
