investors may even require that companies they do business with
be incorporated in Delaware to ensure a speedy resolution of
any business legal issues.
It is technically possible to incorporate in a state other than
the one in which you live if you can find someone in that state to
be your “registered agent” and receive important legal docu-
ments there.
However, realistically speaking, you will have to pay taxes
and comply with the laws in both the state in which your busi-
ness operates and the state in which it incorporates. So, unless
you are looking for certain specific legal benefits only granted by
some states, it may be safest and easiest to incorporate only in
your own state to begin with. 3
Your state’s official “state.gov” website should have a section
for business owners seeking to file articles of incorporation in the
state. This should provide the paperwork needed to incorporate
in your state.
Note that while many online legal services may offer to help
you file your articles of incorporation in your state for a fee, it is
not necessary to pay a company to help you with this. You can
do so if you want the extra assistance, but any individual can fill
out articles of incorporation for themselves and submit them
directly to their state government.
OBTAINING AN EMPLOYER IDENTIFICATION NUMBER
Employer Identification Numbers are like Social Security
Numbers for businesses. As the name implies, one major
purpose of these is for use in record keeping related to paying
employees and subcontractors. However, just like a Social Secu-
rity Number, your business will also need one of these to prove
its identity when applying for and building credit.
Like Social Security Numbers, Employer Identification
