Under the Provisions of the Civil and Commercial Code, the Company must appropriate to a reserve fund, at each distribution of dividend, at least one-twentieth of the profit arising from the business of the Company until the reserve fund reaches one-tenth of the capital of the Company. This reserve fund is not available for distribution as dividend.
As at December 31, 2024 and 2023, the Company’s legal reserve equaled to one-tenth of the registered capital.
According to the minutes of the Board of Directors' meeting No. 9/ 2024 held on 16 September 2024, the meeting passed a resolution to pay dividends to shareholders at the rate of 45% of profits for the year ended 31 December 2023 at the rate of 0.28 baht per share for 125.00 million shares, amounting to 35.35 million baht. The Company paid the dividend on 30 September 2024.
