Board Committees
Following the appointment of the new Board; Committees were reconstituted. The Board maintained the four Committees with clear Terms of Reference, namely, the Audit and Risk Committee (ARC); the Human Resources and Compensation Committee (HRCC); Marketing and Tourism Development Committee (MKT & TD) and the Convention Bureau Committee (CB). Tables 2, 3 4 and 5 outline membership and attendance statistics of the four reconstituted Committees.
Audit and Risk Committee
The Committee’s primary responsibility is to assist the Board in discharging its duties relating the monitoring of TKZN’s compliance with applicable laws, regulations and governance frameworks, including the following:
• A review of the financial management processes and the adequacy of internal controls.
• A review of the Annual Financial Statements, the Annual Report and related regulatory filings before these are released, in order to
consider the accuracy and completeness of the information.
• The governance of risk and Information Technology (IT).
• Overseeing the internal and external audit functions and audit processes; ensuring that these are guided by a risk-based approach.
• Reviewing TKZN’s compliance with the performance management and reporting systems.
• Ensuring that all the disclosures and/or reporting requirements to the Board, the Shareholder, the National Treasury and the Auditor-
General are being adhered to.
The committee held six scheduled meetings during the financial year and there were special and /or ad hoc meeting(s) held. The meetings were held on 02 May 2023; 26 May 2023; 13 July 2023; 26 July 2023; 30 November 2023 and 08 February 2024. The membership and attendance of committee meetings are reflected in the table below:
