ARTICLE VI
ELECTION OF DIRECTORS AND OFFICERS
6.1 Election of Directors. The Directors of the Association shall be elected at the annual meeting. Each regular member shall be
entitled to one (1) vote for each Director to be elected, and the candidate receiving a majority of votes cast shall be declared elected.
6.2 Classes of Directors. The Directors shall be divided into three (3) classes such that one-third of the director terms expire each year. The number of Directors shall be such that at the first annual meeting, one-third thereof shall be elected to serve for one (1) year, one-third thereof for two (2) years and one-third thereof for three (3) years. Then, upon the expiration of the terms of each class of Directors, the new Directors shall be elected for a full three-year term. Additional directors shall be elected to serve within one of the above classes to follow the original intent of this section.
6.3 Election of Officers. The Board of Directors shall elect from among their number a President, a Vice President, a Secretary and a Treasurer. The meeting of the Board of Directors to elect officers shall be held at the next scheduled Board of Directors meeting following the annual meeting of the members. The officers elected shall hold office until the new officers are elected.
6.4 Membership Committee. There shall be a Membership Committee which shall be elected by the Directors at the same meeting at which they elect the other officers. The Committee shall be composed of a minimum of three (3) persons, two (2) of whom must be Directors. An action by a majority of the Committee shall be deemed to be the action of the whole Committee.
ARTICLE VII VACANCIES IN OFFICE
7.1 If a vacancy occurs among the officers or in the Board of Directors, the vacancy shall be filled for the unexpired term by the Board of Directors.
ARTICLE VIII DUTIES OF OFFICERS
8.1 President. The President shall be the chief executive officer of the Association and shall have supervision, direction and control of the business and affairs of the Association. The President shall preside at all meetings of the Association and of the Board of Directors shall consider expedient or necessary.
8.2 Vice President. In the absence of the President, the Vice President shall perform the President’s duties, and in the absence of both the President and Vice President, the Treasurer shall preside and assume the duties of the President.
8.3 Secretary. The Secretary shall keep or cause to be kept all the records of the Association, including minutes of all Board of Directors meetings and all general meetings of the Association; shall, if requested read such minutes at the close of each meeting for approval; and shall mail out all notices for meetings of the Association or the Board of Directors. The Secretary shall keep accurate accounts and collect all application fees, dues and charges due from members and perform such other duties as may be required by the Bylaws, the President or the Board of Directors.
8.4 Treasurer. The Treasurer shall be bonded and shall have charge of all receipts and monies of the Association, deposit them in the name of the Association in a bank approved by the Board of Directors, and disburse funds as ordered or authorized by the Board of Directors. The Treasurer shall keep regular accounts of receipts and disbursements, submit records when requested, and give an itemized statement at regular meetings of the Association. The Treasurer shall sign checks and withdrawal slips on behalf of the Association upon any and all of its bank accounts, and the same shall be honored on the Treasurer’s signature along with the approval of the President.
8.5 Execution of Instruments. The President and the Secretary or the Treasurer shall, on being so directed by the Board, sign all leases, contracts or other instruments in writing.
