7.3 shall not be (where different) as expressed in any quotation, estimate or documentation, or as given orally.

Payment for the goods shall be made [on the Payment Date OR on delivery OR within [specify period] of delivery OR when possession of the goods is transferred to the Buyer [whichever is the later [if the previous are alternatives]]
The time appointed for payment shall not be of the essence of this Agreement.
All amounts stated are exclusive of VAT and any other applicable taxes or levies, which shall be charged in addition at the rate in force at the date any payment is required from the Buyer.
If the Buyer dos not make payment by the due date, the Seller shall be entitled to charge interest on the outstanding amount at a rate:
8.4.1 such as will compensate the Seller for such loss as:

(a) (b)
has resulted directly from the Buyer's failure to make payment on the due date, and
was reasonably foreseeable to the Buyer; and
that shall not in any event exceed the interest rate specified in the Late Payment of Commercial Debts (Interest) Act 1998
