ARTICLE IV - Governing Body WOMAN’S CLUB IS MAINTAINED BY THE SOCIAL CALENDAR
SECTION 1. Permanent Board of Directors, Board of Governors and
Annually Elected Officers. The Governing Body of this organization will be composed COMMITTEE, AND WILL ALSO BE POSTED IN THE BOARD
of a Permanent Board of Directors consisting of nine (9) members, a Board of ROOM OF THE CLUB. ANY QUESTIONS CONCERNING
Governors consisting of thirty-three (33) members and eight (8) annually elected APPROVAL OF CATERERS SHOULD BE DIRECTED TO THE
officers. These three (3) bodies will hereafter be designated as the "Governing Board." CLUB PRESIDENT.
The business affairs of the Corporation will be managed by the Governing Board which
will exercise all such powers of the Corporation and do all such lawful acts and things
as not prohibited by the Texas Non-Profit Corporation Act or by the Articles of
Incorporation or by these Bylaws; provided that nothing contained in these Bylaws will
be construed to empower the Corporation to engage in any activities other than those in
furtherance of the corporate purposes set forth in Article IV of its Articles of
Incorporation.
SECTION 2. Number, Qualifications, Term of Office, Duties and Filling of
Vacancies.
a. The Permanent Board of Directors will consist of nine (9) members.
