Cushman & Wakefield Pty Ltd ABN 77 074 196 991 (C&W) is pleased that MHA (Client) wishes to appoint
C&W to provide certain [INSERT] services as more particularly described in Item 1 of Appendix 1 (Services). 1 PROVISION OF SERVICES TO CLIENT
1.1 Under this letter of agreement (Agreement), the Client appoints C&W and C&W agrees to provide the Services in accordance with the terms and conditions set out in this Agreement.
2 TERM OF AGREEMENT
2.1 This Agreement commences on [INSERT] and will, subject to clauses 2.2 and 2.3 continue in full force and effect until [INSERT] (Initial Term).
2.2 The parties may agree to extend the Initial Term for a further period of [INSERT] by a letter signed by both parties before the expiry of the Initial Term. The terms and conditions contained in this Agreement will apply in respect of any further term.
2.3 On the signing of a letter in accordance with clause 2.2, the parties will meet in good faith to review the Fees that will apply to any further term.
3 C&W’S OBLIGATIONS
3.1 C&W will perform the Services:
(a) in a commercial, prudent and reasonable manner;
(b) in accordance with best industry practice; and
(c) withthehighdegreeofprofessionalskill,careanddiligencethatmayreasonablybeexpectedof a skilled, professional person, suitably qualified and experienced in the performance of the Services.
4 SUBCONTRACTING
4.1 C&W must not subcontract any part of the Services without the prior written consent of the Client, which must not be unreasonably withheld.
4.2 C&W will use best endeavours to ensure that its subcontractors perform work in relation to the Services in accordance with this Agreement.
4.3 C&W will not be relieved of any of its obligations under this Agreement as a result of subcontracting the provision of any part of the Services and remains responsible for the performance of each subcontractor.
