Wright, Finlay & Zak LLP., specifically Robin Wright, failed to provide a list of partners in accordance with California law which requires to protect those dealing with individuals or partnerships doing business under fictitious names, disclosure in corporation filings, in order to exempt the partnership from the requirements for filing a fictitious business name registration statement with the Orange County Clerk.

Failure to file a fictitious business name certificate and failure to disclose the partners identities operating the company on the filed October 19, 2001 registration, is a denial of honest services and public offense.
California public law is designed to make available to the public the identities of persons doing business under any fictitious name,
and every failure to register the limited liability partnership pursuant to California Corporations Code § 15621(a)(3)(c) is a cause for involuntary dissolution under California
Corporations Code Section 1801(a)(1)(2)(3).
Robin Wright’s declaration to execution of the instrument by her act and deed, without any additional pages attached on October, 19, 2001, with an effective date of November 1, 2001 is conclusive evidence of the illegal formation of the limited partnership and prima facie evidence of willful serious offenses against the statutes regulating corporations in California.
