ARTICLE 11 - Parliamentary Authority
 The rules contained in “Roberts Rules of Order Revised Most Recent Edition” shall govern meetings of NACDD in all cases in which they are applicable and in which they are not inconsistent with these by-laws.
ARTICLE 12 - Indemni cation
Section 1. General:
To the fullest extent permitted by the DC Act, every person who is or was a director, of cer, employee, member or agent of NACDD shall have a right to be indemni ed by NACDD
Section 2. Insurance:
Without limiting the generality of the foregoing and to the fullest extent permitted by the laws of the District of Columbia, NACDD may purchase and maintain insurance against all or a portion of any liabilities and expenses, if any, resulting from the indemni cation of any of the foregoing persons pursuant to this Article.
Section 3. Contract or Other Rights:
This Article shall not exclude any other rights of indemni cation or other rights to which any director, of cer, employee, member or agent may be entitled by contract, by vote of the Board of Directors or as a matter of law. If any clause, provision, or application of this Article shall be determined to be invalid, the other clauses, provisions, or applications shall not be affected but shall remain in full force and effect. The provisions of this Article shall be applicable to claims, actions, suits, or proceedings made or commenced after its adoption, whether arising from act or omissions occurring before or after its adoption.
