Can I remove a director from my limited company?

Limited company directors are appointed to their role by shareholders or guarantors (members) to lawfully run the day- to-day activities of a business. As such, a private limited company may remove a director at any time by way of ordinary resolution of the company’s members. The appointment and removal of directors is regulated by the Companies Act 2006 which states in section 168: “A company may by ordinary resolution at a meeting remove a director before the expiration of his period of office, notwithstanding anything in any agreement between it and him.” A director may also be removed under certain provisions in the company’s Articles of Association or by an application made by an authority.
