7.3 Subject to clause 7.4, the Promoter may serve a minimum of 2 months’ notice on the Owner to provide vacant possession of the Property and on or prior to expiration of such notice, the Owner shall procure vacant possession of the Property (except for the Leases).
7.4 The Promoter may not serve the notice described in clause 7.3 prior to the earlier of the following dates:
7.4.1 the exchange of an unconditional contract to Sell;
7.4.2 the buyer under any conditional contract to Sell obtaining a planning permission.
7.5 The Owner will forthwith apply to the Land Registry to enter the following restriction upon the register of title of the Property and thereafter procure the same to be registered:
"No disposition of the registered estate by the proprietor of the registered estate is to be registered without a certificate signed on behalf of Hollins Strategic Land LLP (Company Number OC330401) whose registered office is at Suite 4, 1 King Street, Manchester, M2 6AW or their conveyancer that the provisions of clause 7.1 of an Agreement dated
made between (1) The Gatley Golf Club Limited and (2) Hollins Strategic Land LLP have been complied with or that they
do not apply to the disposition."
with such variations to the form of this wording as may be reasonably required to comply with any Land Registration Act.
7.6 The Owner will forthwith apply to the Land Registry to enter the following restriction upon the register of title of the Property and thereafter procure the same to be registered:
"No disposition by the proprietor of the registered charge dated 22 November 1998 referred to above is to be registered without a certificate signed by Hollins Strategic Land LLP (Company Number OC330401) whose registered office is at Suite 4, 1 King Street, Manchester, M2 6AW or their conveyancer that the provisions of clause 18 of an Agreement dated made between (1) The Gatley Golf Club Limited and (2) Hollins Strategic Land LLP have been complied with or that they do not apply to the disposition."
with such variations to the form of this wording as may be reasonably required to comply with any Land Registration Act.
8 INVESTIGATIONS AND INSPECTIONS
Subject to clause 8.3.1 below, the Owner grants to the Promoter and all persons reasonably authorised by the Promoter to enter upon any part of the Property during the Promotion Period and the Marketing Period on a week day only (excluding Saturday, Sunday and all bank holidays) and
