                       with  the  machinery  manufacturers,  and  perhaps  it  is  proper  to
                       appoint  that  committee now.  That  Committee has been  appointed.
                            I  will  name  the  Auditing'  Committee:  Mr.  Mcllvaine.  Mr.
                       Coventry  and  Mr.  Scott.
                            The  By-Laws  require  the  President  to  appoint  a  Nominating
                       Committee on  the  first  day of the  session.  I  appoint on  that  Com­
                       mittee  Mr.  Charles  Farquhar,  of  Boston;  Mr.  W.  R.  Colcord,  of
                       St.  Louis:  Mr.  E.  R.  Churchill,  of  New  York;  Mr.  George  H.
                       Morris,  of  Cincinnati:  Mr.  \Y.  B.  Yost,  of  Cleveland:  Mr.  O.  P.
                       Meckel,  of  Pittsburg:  and  Mr.  \Y.  E.  Shipley,  of  Philadelphia.
                            Is  it  worth  while  to  commence  discussion  of  re-sale  prices
                       tonight ?  I  see  quite  a  number  of  our  members  have  withdrawn
                       already.  We  do  not  wish  to  consider  it  at  this  time  if  you  are
                       not  interested  in  it.

                            M r.  M c Il y a i n b :   f  do  not  believe  it  well  to  start  this  tonight.

                       T believe  there  will  be  a  great  deal  said  on  i t ;  some  of  the  mem­
                       bers  arrived  last  night  tired,  and  I  believe  it  would  not  be  proper
                       to  start  this  tonight  as  it  is  now  half  past  five.
                            On  motion  duly  seconded  an  adjournment  was  taken  until
                       ten  o’clock  tomorrow  morning.





                                              MORNING  SESSIO N .

                                               F ebruary  15t h ,  1906.

                            The  Convention  met  pursuant  to  adjournment  of  yesterday.
                            P resident  S trong :  The  meeting  will  come  to  order.  The
                       first  thing  in  order  of  business  this  morning  is  consideration  of
                       re-sale  prices.   I  presume  it  is  only  necessary  for  somebodv  to
                       start  this  question.  Mr.  Pattison,  what  do  you  know  about  it?

                            M r.  P a t t is o n :   I  think  we  had  better  hear  from  Mr.
                       McIntosh  on  that.
                            Mr.  M cI n t o s h   :  Mr.  President,  Mr.  Fernlcv,  at  my  request,
                       drew  up  a  resolution  adopted  by  the  National  Hardware  Asso­
                       ciation  two  years  ago,  after  long  discussion,  and  it  has  been
                       referred  to a committee  to  consider  very  care full v.  I  beg leave  to
                       offer  the  same  resolution  here :
