• Advised on 2020’s first and second largest physician organization transactions, the sale of client Landmark Health to UnitedHealth; and United/Optum’s recently completed merger with New York’s CareMount Health Solutions.
• Served as regulatory counsel to Alkuri Global Acqui- sition Corp., a special purpose acquisition company, in its $4.2 billion merger with Babylon Holdings Limited, a digital-first value-based care company.
• Represented Molina Healthcare, Inc., a provider of man- aged healthcare services under the Medicaid and Medi- care programs and through the state insurance mar- ketplaces, in its acquisition of Magellan Complete Care from Magellan Health, Inc.
• Represented private equity funds Welsh Carson Ander- son & Stowe and Rubicon Founders to enter into a de- finitive agreement with Centene Corporation to sell a majority stake in U.S. Medical Management, LLC.
• Advised Clayton Dubilier & Rice, LLC with respect to an acquisition of a majority interest in Millennium Physician Group, one of Florida’s largest independent primary care practices.
• Representing Blue Cross and Blue Shield of North Carolina in its joint venture transaction with Deerfield Management Company to form a new practice manage- ment platform that will support independent physician practices throughout the state as they transition to val- ue-based care.
• Advised on the $8 billion valuation initial public offering of global risk physician services company, agilon health.
• Advising Vera Whole Health, Inc., a platform that con- tracts with self-insured employers in over 10 states (and growing) to deliver its innovative advanced primary model to employees and their dependents, to establish a global risk-based joint venture with the largest primary care practice in Ohio.
• Representing NYC Health + Hospitals, the largest public hospital system in the country, in connection with the renegotiation of its affiliation agreements with academic medical systems and a large faculty practice plan, which together represent a combined value of several billion dollars in revenue generated for the 12-hospital system.
• Represented Blue Shield of California’s Altais in its affil- iation with 2,700 physician Brown & Toland Physicians; and its pending acquisition of Family Care Specialists Medical Corporation and Family Care Specialists IPA, two medical groups representing over 1,000 primary care physicians.
•Acted as regulatory counsel to Cigna in its 2021 multi-billion-dollar acquisition of leading telehealth pro- vider MDLive. MDLive provides both virtual urgent care and behavioral health services.
• Represented Cambia Health Solutions in its sale of HealthSparq, Inc., a provider of integrated healthcare transparency SaaS solutions, to Kyruus, Inc.
• Partnered value-based VillageMD with Walgreens to begin the national roll-out of a primary care retail clinic approach.
• Represented Quartet Health in its acquisition of Inno- vaTel Psychiatry.
• Represented Brand New Day and Central Health Plan in their successful sales to Bright Health.
• Represented ChenMed in its launch of a Medicare Ad- vantage senior global risk clinic strategy in a joint ven- ture with Ohio Health; and the negotiation and imple- mentation of an eight-market joint venture with health plan Humana Inc.
• Represented Summit Medical Group in a recapitaliza- tion and merger with CityMD, a portfolio company of Warburg Pincus, creating a new entity with more than 1,400 providers, over 6,400 employees, and nearly 200 locations in New Jersey and New York.
• Represented Premiere Practice Management, LLC, the provider of management and administrative services to East-West Eye Institute, a Medical Corporation, Third Street Surgery Center, L.P., and Skypark Surgery Center, LLC, in connection with its sale to NVISION Los Angeles, LLC.
• Representing Lyophilization Services of New England, Inc., a portfolio company of Permira, in its pending sale to PCI Pharma Services.
• Represented Stanford Health Care, one of the nation’s leading AMCs, in connection with the conversion of its non-profit Medicare Advantage plan to a for-profit enti- ty and subsequent transaction with Essence Healthcare, as well as assisting Stanford Health Care to enter into a long term management services agreement with Lumer- is, Inc., an industry leader in value-based care and affili- ate of Essence Healthcare.
• Established a state-wide alliance between ACO network manager Aledade and North Carolina Blue Cross Blue Shield to turn the entire state’s primary care delivery into value-based medicine.
• Represented the corporate members of Fidelis Care, New York’s largest Medicaid managed care plan, in a $3.75 billion acquisition by Centene Corporation, the nation’s largest Medicaid managed care plan provid- er. The proceeds of the sale created one of the largest healthcare foundations in the country.
• Assisted Portland hospital system Legacy Health in the purchase of a 50% equity interest in PacificSource, a health plan in Oregon and Idaho offering Medicare, Medicaid, commercial and insurance exchange insur- ance products.
