Based on the "subtotal," the profit and income share for the co-shareholder of the US company, SPARK VENTURE PARTNERS LLC, is calculated. The percentage
share is divided between the co-partners on a percentage basis. The co-shareholder - Mr. Marcelo Gomes Da Piedade will make a proposal, the decision of which
will then be agreed upon at a separate general meeting of the US company.
