SUMMARY IN GRAPHIC REPRESENTATION OF BUSINESS IMPLEMENTATION

 The US company formed by PARTY #1, SPARK VENTURE PARTNERS LLC, will be transferred 100% to the shareholder, Mr. MARCELO GOMES DA PIEDADE, by

shareholders' resolution, as the sole acting and authorized representative shareholder. The previously second shareholder will withdraw from the US company and

will therefore no longer be a member of the US company.

 We would like to kindly request Mr. MARCELO GOMES DA PIEDAD to inform us of his acceptance and agreement to the contents of the TERM SHEET

in writing to the following email address within the next 4-5 banking days.
