3. Resourcing
CEnet’s board has formed a Governance Committee to oversee the process involved in implementing

Mr David Hutton OAM Independent advisor, Chair of the Governance Review Steering Taskforce
The Governance Committee will be supported by:
a. An external Consultant to provide project management and expert advisory services.
b. The CEnet executive in the provision of secretarial and administrative support.
Legal and advisory services are expected to be required in regard to changes to the Constitution and a review of the existing Memorandum of Understanding.
Although it is anticipated existing Church and Church agency networks will be leveraged to recruit the skills-based directors and independent Chair, there is the possibility that external recruitment services may be required.
The establishment of a project resourcing budget and the engagement of external consulting services will be subject to board approval following recommendations received from the Governance Committee.
4. Implementation objectives

EG Review Recommendation
Transition the existing board structure to a hybrid representative / skills-based board with an independent chair.
Priority - Tier 1
Completion date: 31 Dec 2020
REC #7: Model C, a representative/skills-based board, is our recommended option. It balances the governance requirements of CEnet into the future with the need to retain the voice of members.
REC #10: That the potential payment of directors be kept under review should the members change the structure of the board’s composition to include independent directors.
