                                    RESTAURANT REVITALIZATION FUND GRANT


           WHAT?
           The RRF will offer $28.6 billion in grants to hard-hit restaurants and bars, with restaurants able to
           apply for grants based on lost revenue. Additionally, $5 billion of that total will be set aside expressly

           for businesses with 2019 gross receipts of less than $500,000.

           KEY POINT:
           (4) ELIGIBLE ENTITY.—The term ‘‘eligible entity’’—

                  (A) means a restaurant, food stand, food truck, food cart, caterer, saloon, inn, tavern, bar,
                  lounge, brewpub, tasting room, taproom, licensed facility or premise of a beverage alcohol

                  producer where the public may taste, sample, or purchase products, or other similar place of
                  business in which the public or patrons assemble for the primary purpose of being served food
                  or drink;


           H&K COMMENTARY:
           “I think the biggest challenges for hotel businesses will be meeting the ‘primary purpose of being
           served food or drink’ requirement unless the restaurant is separately incorporated.”

           ZAZA INTERPRETATION:

           The hotel entities don’t met that requirement.  We may wish to have the BEVCOS apply for the grants.
           Their purchases of liquor, beer, and wine would be covered by the grants.  We will further explore,
           judiciously on fee front, with H&K about labor costs, operating expenses and facility leases, all of

           which are allocations, not cash outlays by the BEVCOS.
