Share Transfer

ข้อ 27 หุ้นของบริษัทย่อมโอนกันได้อย่างเสรีโดยไม่มีข้อจ ากัด การโอนหุ้นรายใดที่จะท าให้สิทธิ

Article และผลประโยชน์ที่บริษัทจะพึงได้รับตามกฎหมายว่าด้วยการประกันชีวิตต้องเสียไป

บริษัทมีสิทธิปฏิเสธการโอนหุ้นบริษัทรายนนได ้

The Company’s shares can be freely transferred without any restriction. If any
transfer of the Company’s shares would cause the Company to lose any rights or

benefits which may be vested by the law governing life insurance, the Company has

the right to refuse such transfer of shares.

ข้อ 28 การโอนหนย่อมมีผลสมบรณ์เมื่อผู้โอนไดสลกหลงใบหนโดยระบุชื่อผู้รับโอน และลงลายมือชื่อ
Article ของผู้โอนและผู้รับโอน และท าการส่งมอบใบหนดงกล่าวใหแก่ผู้รับโอน

A transfer of shares shall be effective upon the transferor’s endorsement of the share
certificate by specifying the name of the transferee, and having it signed by both the
transferor and transferee, and delivery of the share certificate to the transferee.

การโอนหุ้นจะใช้ยันบริษัทได้เมื่อบริษัทได้รับค าร้องขอให้ลงทะเบียนการโอนหุ้นแล้ว แต่จะใช้

ยันบุคคลภายนอกได้เมื่อบริษัทได้ลงทะเบียนการโอนหุ้นดังกล่าวไว้ในสมุดทะเบียนหุ้นแลว

เท่านั้น

The transfer of shares shall be effective against the Company when the Company has
received a request for the registration of the transfer of shares. However, such

transfer of shares will be effective against a third party only when the Company has

registered such transfer of shares in the shares register book.
