Bearing in mind that the 2014 and 2015 Service Charge Accounts are likely to require adjustment (not least for the legal liability of the MHML directors to reimburse the service charges paid in ex- cess of £250 per lessee) I am sending a copy of this letter to your auditor.
I am also copying this letter to your co-directors who are likely to be concerned for the same rea- son. I have noted your frequently repeated assertions that they have little involvement with the affairs of MHML and that you alone are "responsible for any misfeasance". However I think this whole saga illustrates all too graphically the dangers of company directors opting to leave mat- ters entirely in the hands of others - particularly when it has become abundantly clear that things are going badly wrong.
Your client was a Director of MHML until September 2014. Admittedly requested to resign for thoroughly unprofessional behaviour which no doubt you will consider ethical under the circumstances to which you have unsuccessfully attempted to establish.
One final point. You insist on referring to a "vendetta" against you on the part of Mrs Hillgarth. A vendetta implies that Mrs Hillgarth is bent on some bitter personal feud against you, actuated only by malice. Nothing could be further from the truth. She has simply been determined to es- tablish the facts, and the fault is exclusively yours in declining, for so long, to give straight an- swers to straight questions. You should not underestimate the depth of anger and resentment felt by her fellow leaseholders as to the manner in which they have been treated by you, and she has their full support, as you will find, in seeking legal advice and acting as spokesperson for their group. I must remind you that Mrs Hillgarth offered, without success, to try and resolve these is- sues amicably through a meeting, but you chose to reject her offer. Her tenacity should not be mistaken for malice.
I have adequately brought into question Mrs Hillgarth’s integrity on all points to date.
I am indifferent as to whether you answer these questions voluntarily to me or involuntarily to the relevant authorities (to whom I will, if that proves necessary, be passing this letter). You have until close of business on Friday 24 June to decide which you prefer to do. I hope even now that com- mon sense will prevail.
