(b) Bylaws – AILFN, Inc.
ARTICLE 1 - NAME AND PURPOSE
This Delaware Corporation formed pursuant to Chapter 1 of Title 8 of the Delaware Code shall be
known as AILFN, Inc., hereinafter called the "Corporation."
AILFN, Inc. is a non-profit association of law firm networks and associations seeking to: promote their
common and mutual interests to provide benefit to their Independent member law firms. AILFN
provides access to the services, makes available to businesses information on networks and
international developments affecting the legal profession; and directs communications within the legal
and business communities as to the benefits of membership in a network or association.
The members of AILFN shall maintain complete autonomy and are not affiliated for the joint practice of
a profession or for rendering services.
AILFN may engage in any lawful act or activity provided under the General Corporation Act of the State
of Delaware in pursuit of such purposes.
ARTICLE 2 - CORPORATE SEAL
The corporate seal shall be an impression containing the name of the Corporation, and its year of
incorporation.
ARTICLE 3 - OFFICES
The principal office of the Corporation shall be in Houston, TX. The Corporation shall designate a
registered office in accordance with Delaware law and shall maintain it continuously. The corporation may
have offices at such other places as the Board of Directors may from time to time determine.
ARTICLE 4 - MEMBERSHIP
Section 1. Qualification.
Membership shall be held by law firm networks and associations. Membership, after the initial
subscription, shall be issued only to companies and firms approved by the Executive Committee and the
Board of Directors. The Board of Directors will adopt guidelines and procedures for membership.
Section 2. Application.
(a) Application for membership. Each application for membership, after the initial subscription, may be
made in such form as approved by the Board of Directors. Each application must be complete and must
be signed by the official representative of the applying network. The application must be accompanied by
check or wire transfer in full payment of the initiation fee and annual dues in advance, which payment
