Factors leading to the recognition of goodwill stem from the group's view that the company can leverage its business in providing system integrator (SI) services. This includes designing, sourcing, developing, and installing, as well as managing all systems related to information technology and telecommunications. This represents an opportunity to increase revenue and profitability for the company in the future.
The company incurred transaction costs related to the business acquisition totaling approximately 7 million baht, which are included in administrative expenses in the profit and loss statement for the period in which the costs were incurred and the services were received.
13.2 Disposal of Investment in a Subsidiary in 2024 1) Investment in ACC Cannabis Co., Ltd.
According to the resolution of the board of directors of Advance Connection Corporation Public Company Limited in meeting No. 8/2024, held on June 26, 2024, it was resolved to approve the disposal of the investment in subsidiary. comprising 3,200,000 shares at a price of Baht 10.625 per share, totaling Baht 34,000,000 (excluding liabilities of subsidiary with the company and related companies and external loans, which the company will assume in full. This transaction involves the sale of assets without including all liabilities of subsidiary according to the agreed-upon terms).

As of December 31, 2024, the outstanding amount not yet received is baht 28.00 million. The company has recorded this amount under other current receivables in the statement of financial position.
In determining the purchase price, the company considered asset appraisal values from two independent appraisers. The valuation for buildings was based on the Cost Approach, and the valuation for machinery and equipment was based on the Replacement Cost, with total values of Baht 33.87 million and Baht 34.13 million.
On July 5, 2024, the Company transferred shares and changed directors in the subsidiary. To the Department of Business Development Ministry of Commerce already company executives consider that the control power in the subsidiary has ended June 27, 2024.
