registered an increase in its paid-up capital by 24.32 million Baht, from the previous paid-up capital of 445.76 million Baht to a new paid – up capital of 470.08 million Baht. The number of paid – up shares increased from 1.78 billion shares to 1.88 billion shares, with a par value of 0.25 Baht per share. This registration was completed with the department of business development, ministry of commerce.
25.3.4.2 Approved the allocation of up to 440.00 million newly issued common shares of the company, either in a single or multiple issuances, with a par value of 0.25 Baht per share. These shares will be offered to a limited group of 3 non-related parties (Private Placement) at an offering price of 0.60 Baht per share, with a total value of 264.00 million Baht, as compensation for the acquisition of 2.64 million common shares in R.T.S. (2003) Co., Ltd. The Company will settle the purchase price of RTS’s common shares by issuing newly issued common shares of the Company instead of paying in cash, with a total value of 264.00 million Baht (or in other words, the investors will subscribe for the Company’s newly issued common shares and pay for the new shares with their RTS shares they hold, through a share swap). The exchange ratio will be 1 share of RTS at par value (100 Baht per share) for 166.6667 newly issued shares of the Company at 0.25 Baht per share.
On November 21, 2024, investors subscribed to 440 million newly issued common shares of the company, offered through a private placement, and settled the payment with 2.64 million shares of RTS, with a par value of 100 Baht per share. The Company has successfully allocated 440 million newly issued common shares with a par value of 0.25 Baht per share. Additionally, the company registered an increase in paid-up capital by 110 million Baht, from the previous paid – up capital of 335.76 million Baht to a new paid – up capital of 445.76 million Baht. The number of paid – up shares increased from 1.34 million shares to 1.78 million shares, with a par value of 0.25 Baht per share. The registration was completed with the department of business development, Ministry of commerce.
According to the resolution of the Extraordinary General Meeting of Shareholders No. 2/2024, held on December 25, 2 0 2 4 , it was approved to transfer the excess value of shares amounting to 3 4 2 . 0 8 million Baht to offset the accumulated losses of the company (the company has no legal reserves).
