Key Changes and Developments in Corporate Governance Policies, Guidelines and Systems in 2024
THP Board of Directors reviews/ amends policies and guidelines as well as good corporate governance system in order to increase efficiency and upgrade the standard of THP corporate governance annually to be consistent with the Principles and Guidelines on Good Corporate Governance for State Enterprises, B.E. 2562 (2019), of the State Enterprise Policy Office, Ministry of Finance, consisting of the following topics; Role of the Public Sector, Rights and Equality of Shareholders, Committees, Stakeholder’s Role, Sustainability and Innovations, Disclosure of Data, Risk Management and Internal Control, Ethics and Performance Monitoring
In 2024, THP Board of Directors approved the review/ amendment of policies, guidelines and good corporate governance system as follows :
The criteria for drafting the THP Board’s Charter remain current and appropriate for use as requirements for drafting and reviewing the THP Board’s Charter.
Add the duties and authority of the THP Board in establishing the criteria for the selection and appointment of directors and overseeing THP to strictly comply with such criteria, in accordance with the letter from the State Enterprise Policy Office, Ministry of Finance, No. Kor Khor 0824/ Wor 1137, dated 30 November 2023, regarding guidelines for the appointment of state enterprise directors under the State Enterprise Governance and Administration Development Act B.E. 2562 (2019).
The corporate governance policy remains appropriate and consistent with the principles and guidelines for good corporate governance in state enterprises B.E. 2562 (2019) issued by the State Enterprise Policy Office, Ministry of Finance.
Revise/ amend the scope of external laws to align with THP’s Compliance Policy and relevant laws and regulations, including :
• Antitrust Law and Competition Law
• Anti-Money Laundering and Combating the Financing of Terrorism
(AML/ CFT) Law, including measures against the proliferation of mass
destruction weapons
• Anti-Bribery Law
• Laws related to labor, human rights, intellectual property, environment,
safety, occupational health, and working conditions
• Laws related to government administration and public service delivery
through digital system, and personal data protection
• Cabinet resolutions, as well as other laws and regulations relevant
to THP’s operations
• THP’s policies, standards, guidelines, or operational manuals in
various areas
