Conflict of Interest Prevention Policy
THP has established policies and guidelines on the prevention of conflict of interest for THP’s directors, executives and officers (employees/ permanent and temporary workers) to take account of the optimum benefits of THP, refrain from committing any act for their personal benefits, and avoid actions that may cause conflict of interest between personal interest and THP's interest. Directors have to disclose their interest or conflict between their personal interest and THP's interest on any matter entered in the agenda of each meeting. If any director has an interest or a conflict between his or her personal interest and THP's interest, THP Board of Directors’ meeting shall have such director refrain from voting or leave the meeting room while considering such matters of interest or conflict of interest. In the case where an executive or an officer is appointed as a member of a committee or working group, or an inspector of any matter related to procurement, disciplinary actions, or selection examination, he/ she shall prepare a report on conflict of interest in accordance with nature of work. If any
executive or officer has an interest or a conflict between his or her personal interest and THP's interest, the appointing authority must consider whether the executive or officer should continue to perform duties or withdraw from performing such duties. Moreover, THP has determined the “No Gift Policy” to express an anti-corruption intention. It is also required to monitor, evaluate, summarize performance results, and report them to the Corporate Governance, Risk Management and Sustainability Development Subcommittee and THP Board of Directors on an annual basis.
In 2024, THP Board of Directors held 12 meetings, during which two board members disclosed conflicts of interest regarding four specific matters. In this regard, the board had these members leave the room while discussing issues related to their conflicts of interest. Additionally, the executive and officers, altogether 849 staff members, disclosed conflicts of interest according to nature of work, but none were found to have any conflict of interest with THP.
