Glossary
Board, management committee or executive committee — the group
given the responsibility of managing the direction and strategic goals of the club/
federation and to monitor its performance against these goals.
By-laws — found in a constitution, by-laws (also called regulations) cover
operational issues and can be changed by the management committee.
Chief executive officer (CEO) — the paid staff member who manages other
staff and volunteers, and is required to achieve the goals in the strategic plan.
Constitution — a basic set of rules for the daily running of the club/federation.
Director — the member of the board, management committee or executive
committee voted in by the members to fulfil a specific governance role.
Fiduciary — the relationship of 1 person to another where the former is bound
to exercise rights and powers in good faith for the benefit of the latter. This means
the board/management or executive committee members must act in good faith
for the benefit of the members at all time.
Governance — the structures and processes used to develop strategic goals
and direction, to monitor performance against these goals and to ensure that the
board acts in the best interests of the members.
Rules — found in a constitution, rules include the basic principles of the club/
federation and can be changed only by a general meeting (annual general
meeting).
Subcommittee — a small committee, separate from the management/executive
committee, that focuses on a specific area of operations (coaching, officiating,
marketing, events, etc.).
