BOARD OF GOVERNORS
RESOLUTION

WHEREAS, the Board of Governors recognizes that the Louisiana State Bar Association
is bound by Louisiana Supreme Court Rule XVIII, Section 6, as amended September 14, 2021;

WHEREAS, the Board of Governors recognizes that the Louisiana State Bar Association
is bound by the United States Firth Circuit Court of Appeals’ November 13, 2023 decision in
Randy Boudreaux v. Louisiana State Bar Association, et al;

WHEREAS, the Board of Governors on June 9, 2023 granted authority to President Shayna
L. Sonnier to make committee appointments and create committees;

WHEREAS, President Sonnier appointed the Community Action Committee to facilitate
such projects as Secret Santa and Ween Dream; and

WHEREAS, in the Fifth Circuit’s November 13, 2023 opinion, these activities are
identified as “not sufficiently germane to the regulation of the legal profession or the improvement
in quality of legal services.”

NOW THEREFORE BE IT RESOLVED that the Board of Governors directs President
Shayna L. Sonnier to immediately disband the Community Action Committee and cease all
activities previously facilitated by that committee;

AND BE IT FURTHER RESOLVED that the Board of Governors and the Louisiana State
Bar Association shall take any and all additional actions necessary to comply with the Fifth
Circuit’s November 13, 2023 opinion.
