NON-PROFITS
Non-profits have unique requirements that differ from for-profit entities. These differences are
seen largely in how non-profits are started, managed, expanded, and dissolved. Our counsel
understands and respects these differences and ensures you are compliant through the life of
your organization. If you do not see your matter addressed, contact legal counsel for additional
information. The following are some of the most frequent services that we offer to non-profits.
REGISTRATION
» State Registration
» Federal Registration
» Non-profit Binder with bylaws and key supplemental documents.
» On-going legal counsel throughout the process at no additional charge.

Non-profit Compliance: Our counsel works with your executive director, board of directors,
and corporate executives to ensure your organization is compliant with industry regulations.
Whether you are a single charity, a donor advised fund, or other charitable vehicle, we can assist
you with your non-profit endeavors. Your organization may invest its resources, save them, or
need to answer difficult questions on what to do with them. We become part of your team to
help you answer those questions.
International Expansion: If your non-profit is based outside of the U.S., yet is looking to expand
into the U.S., our counsel can work with you on that process. We would talk through what you
want to accomplish. We work on this expansion in phases depending on the complexity of
your project. If you are U.S. based and looking to expand into another jurisdiction, we work
with you to identify the impact of your expansion on your U.S. operations and be a part of your
international team as you expand abroad.
Non-profit Dissolution: Our legal counsel works with you to dissolve your non-profit when
that time comes. Our counsel truly becomes part of your team to ensure that your non-profit
dissolves assets according to the guidelines of the U.S. internal revenue service and ensures that
those assets are disposed of for a non-profit purpose.
