APUS reserves the right to determine, in its sole and exclusive discretion, whether an employee has
committed one of the offenses identified in this list or another offense that warrants discipline, and to
determine the degree of discipline that may be appropriate.

All employment at APUS is "at will" and may be separated by the employee or the company at any time,
with or without cause, with or without prior notice or warning.
While APUS may separate an employee at will, the company reserves the right to take any or all of
the following disciplinary actions against you in the event you violate applicable law or any APUS rule,
               policy, procedure, expectation, or guideline:
 Informal warning – Verbal Warning or Counseling
 Formal warnings – Verbal Written, Written, Final Written Warnings/Counseling Forms
                        Probation
 Suspension with or without pay
                        Termination of employment
 Other action(s) APUS may deem appropriate in its sole discretion

Although one or more of these steps may be taken in connection with a particular employee, APUS may
separate the employment relationship without following any particular series of steps whenever it
determines, in its sole discretion, that such action is appropriate.

Code of Business Conduct and Ethics
APUS is committed to conducting business in accordance with the highest ethical and legal standards. The
standards and principles of conduct set forth in our Code of Business Conduct and Ethics, which we refer to
as the “Code,” are an extension of our core values. This Code applies to all employees, officers, and
directors of APEI and its subsidiaries. This Code covers a wide range of business practices and procedures. It
does not cover every issue that may arise, but sets out basic policies to guide you in your business conduct.
These policies reflect our core values and serve as a foundation for all that we do in working to achieve
APUS’s mission of providing the evolving workforce effective and engaging learning experiences that
maximize the potential of a better life. In particular, this Code covers policies designed to deter wrongdoing
and to promote: honest and ethical conduct, including the ethical handling of actual or apparent conflicts of
interest between personal and professional relationships; full, fair, accurate, timely, and understandable
public disclosures, including those we file with the Securities and Exchange Commission (“SEC”); compliance
with applicable laws, rules and regulations; the prompt internal reporting of violations of the Code; and
accountability for adherence to this Code. To access and review this Code in its entirety, please click here.
Principal officers of APUS and APEI must also adhere to the Code of Ethics for Principal Officers, which can
