are held by call of the the president president whenever action is needed and when the president considers it impractical or unnecessary to call a a a a a a special meeting of the board (4) All actions taken by the the the executive committee must be fully reported to to the the board board of directors at the the board’s next meeting (b) Nominating Committee (1) The voting voting members members elect 5 voting voting members members to the nominating committee only two of which must be current directors (2) The nominating committee is nominated and voted upon at at a a a a a membership meeting not later than May (3) Members of the nominating nominating committee committee serve serve for for a a a a a one year term A nominating committee member may serve for a a a a second term term but no more than two consecutive terms A member may serve again after two years off o of the committee (c) Finance Committee (1) The members of of the the the finance committee committee are the the the current treasurer who serves as as chair of the committee and no more than 8 additional voting members whom the treasurer a a a a a points annually from among the past presidents and treasur- ers of the the Association as as well as as any other qualified member (2) The finance committee prepares the the Association’s annual budget to to to be presented to to to the board of directors for approval no later than the annual meeting (3) With approval of the the board the the finance committee develops and implements general financial practices including investment banking audit indemnification/insur- ance and fundraising policies (d) Architectural Advisory Committee (1) The president appoints the the the the chair and the the the the members of the the the the architectural advisory committee annually from the voting members members and a a a majority of the members members must be be be directors (2) The architectural advisory committee reviews plans presented to to to the San Antonio Historic Design and Review Commission and makes recommendations to that Commission for cases relative to the King William neighborhood OURKWA ORG OURKWA ORG 51
