HANDBOOK / NON-DISCLOSURE
AGREEMENT
The protection of confidential business information and trade secrets is vital to
the interests and the success of ASDC. All employees are required to sign a non-
disclosure agreement as a condition of employment. Employees who improperly
use or disclose trade secrets or confidential business information will be subject
to disciplinary action, up to and including termination of employment and legal
action, even if they do not actually benefit from the disclosed information.
I ___________________ Employed by ASDC agrees to the following:
1. During my employment I will receive or be allowed access to ASDC
proprietary and confidential projects and processes information in whatever
form, such as but not limited to related knowledge, Computer processes &
data, Proprietary production processes, Research and development
strategies, Clients lists, Clients preferences, Financial information, Scientific
data, Formulae & prototypes, Technological data & prototypes, Marketing
strategies, projects and proposals, Specifications, Schematics, Drawings,
Design data and hints, Mock-ups, software descriptions, licensing
data/policies, and any other general business information according to your
department.
2. I have familiarized myself with the contents of this handbook. By signing this
document, I acknowledge, understand. accept and agree to comply with the
information contained in the Employee Handbook provided to me by ASDC.
3. I understand this handbook is not intended to cover every situation which
may arise during my employment, but is simply a general guide to the goals,
policies, practices, benefits and expectations of ASDC.
4. Upon completion of your review of this handbook, please sign the statement
below, and return to your personnel representative by the due date.
