A process to address objections raised by current members may also be included here.
Article 11 Amendments
Any Amendment to these bylaws shall be done after following the below process:
1. Recommendations either from any members, RI or Board will be presented to the Secretary.
2. The matter will be discussed at the Board and with their recommendations will be circulated
to the members for their information and perusal.
3. A Club Assembly or a Special General body Meeting will be conducted and at the said
meeting amemndment(s) will be approved and necessary corrections will be done after passing a
resolution by and at the general body.
These bylaws may be amended at any regular club meeting. Changing the club bylaws requires
sending written notice to each member 10 days before the meeting, having a quorum for decision on
sensitive issues at least 2/3rd strength of total strength and for regular issues at least 1/3rd strength
should be present for the vote, and having two-thirds of the votes support the change. Changes to
these bylaws must be consistent with the Standard Rotary Club Constitution, the RI Constitution and
Bylaws, and the Rotary Code of Policies.
Details of sensitive issue as highlighted ( item nos. ii, iv, vi,viii,ix, xi) and regular issues ( item nos.
I, iii,v,vii,x) will be as follows;
(i) Project Investment exceeding amounts previously approved in the Annual Budget;
(ii) Amendment(s) to the Constitution or Bye Laws of Rotary Club of Thane Midtown;
(iii) Entering into a partnership with any third party for execution of the projects;
(iv) Change of name of the Club from “Rotary Club of Thane Midtown”;
(v) Appointment, change and fixing of remuneration of the Club’s auditors;
(vi) Acquisition or Disposition of the Club’s properties or assets, unless approved in the Annual
Budget;
(vii) Approval of the Annual Budget of the Club or any periodic modifications thereto;
(viii) Change in the Regular meeting venue of the Club;
