Fund Charges Explained

Praetura Initial Charge 1% 2.5%
Adviser Initial Charge Up to1.5%

Praetura Annual Management Charge 1.5% 2%
Adviser Ongoing Fee Up to 0.5% p.a (payable for 4 years)

A one-time arrangement fee of up to 4% of funds invested will be payable to the
Arrangement Fee
Fund Manager by the Investee Companies upon investment.

Monitoring Fee An annual fee will be payable by an Investee Company at a rate of 1% of funds
invested, subject to a minimum annual charge of £36,000.

Performance Fee
Performance fees payable once the capital deployed into underlying companies has
achieved a hurdle rate of 30% growth. Thereafter the Fund Manager will be entitled
to 20% of profits above the hurdle. This will be charged on a cumulative basis.

VAT will be charged on all applicable fees and charges at the prevailing rate.
