Government to inform you that the arrangements set forth in that letter and your
acceptance of them conveyed in your letter dated the 22nd May 1937 (No 6 (b)
above) have been communicated to Petroleum Concessions, Limited, and that the
Company formally confirm their acceptance of these arrangements.

DUBAI OFF-SHORE CONCESSION
Concession Agreement between the Ruler of Dubai and Mr. George Heseldin,
dated August 7, 1952
In the Name of God the Merciful.
This is an Agreement made at Dubai on the Seventh day of August nineteen
hundred and fifty-two that is the 16th Dhil Qada 1371 between Shaikh Said bin
Maktum al Hashr in the exercise of his powers as Shaikh of Dubai, on his own
behalf and on behalf and in the name of his heirs and successors to whom is or
shall be vested for the time being responsibility for the control and government of
the Shaikhdom of Dubai (hereinafter called “ the Shaikh ”) of the one part and
George Heseldin (hereinafter called 4i the Concessionaire ” which expression shall
include his successors in title) of the second part.
Article 1
The Shaikh of Dubai having issued his Proclamation dated the 17th day of
Sha’ban 1368 Hijri, corresponding to the 15th day of June 1949 claiming juris
diction and control over an area of the sea-bed and subsoil lying beneath the High
Seas of the Persian Gulf contiguous to the Territorial Waters of Dubai and being
satisfied that in respect of such area no prior obligation will exist after 6th August
1952 toward any individual or company, the area to which this Agreement applies
is all the sea-bed and subsoil lying beneath the waters which lie outside the Terri
torial Waters of Dubai (including in the term “ Territorial Waters ” those
appertaining to any islands included in the State of Dubai) over which the Shaikh’s
jurisdiction and control extends or may hereafter extend.
This grant of concession shall also cover and include any and all islands, islets,
shoals and bars which may after the date of signature of this Agreement rise from,
accumulate, build up, be created by nature or the Company, or otherwise, above
spring tide of the waters within the concession area.
The Shaikh agrees that when the limits of the area the subject of the said
proclamation shall have been determined the said area to which this Agreement
applies will be coterminous with the limits so determined.
If hereafter any Neutral Zone is created adjacent to the territory of the State
wherein the Shaikh shall have a joint interest the Shaikh hereby agrees that all
the sea-bed and subsoil lying beneath the waters which lie outside the Territorial
Waters of any such Neutral Zone shall be included in and form part of the area to
which this Agreement applies to the extent of the Shaikh’s interest therein.
Article 2
The period of this Agreement shall be 80 Calendar years from the 7th August

weights mentioned in this Agreement shall be reckoned on the Engl.sh Ton of
2,240 lbs.
