2. Under instructions of His Majesty’s Government I now enclose a copy
of an Agreement which has been concluded between His Majesty’s Government
and Petroleum Concessions Limited in London on the 17th July 1951.
3. It is desirable that there should be a clear understanding as to the position
which would arise in certain eventualities in connexion with these two Agreements.
I am therefore to rcciuest that you will let me have a reply to this letter confirming
your agreement to the arrangements set out below: —
(1) Should any of the terms of the Agreement between you and the Company
be inconsistent with, or conflicting with, the terms of the Agreement
between the Company and His Majesty’s Government signed on the
17th July 1951, the Agreement between you and the Company will,
to the extent of any such conflict or inconsistency, be subordinate to
and controlled by the terms of the Agreement between the Company
and His Majesty’s Government.
(2) Should it be necessary under the terms of Article 15 of the Agreement
between the Company and His Majesty’s Government for His Majesty’s
Government to request you to terminate your Agreement with the
Company, you will accept the advice of His Majesty’s Government in
this respect.
(3) Should you propose to grant permission for a bank to open a branch or
agency in your State as mentioned in Article 25 of your agreement with
the Company or to designate a bank outside the sterling area for the
purposes of that Article, you will obtain the approval of His Majesty’s
Government before doing so.
4. Upon receipt of confirmation that you understand and agree to these
arrangements, Petroleum Concessions Limited will be informed accordingly and
you will be notified of His Majesty’s Government’s approval of your Agreement
with Petroleum Concessions Limited.

States, giving the Confirmation asked for in (a) above
I have the honour to confirm my understanding and acceptance of the
following arrangements in connection with my Concession Agreement with
Petroleum Concessions Limited: —
(1) If there should be any inconsistency or conflict between the terms of this
Agreement and the terms of the Political Agreement concluded between
Her Majesty’s Government and Petroleum Concessions Limited I
recognise that the Political Agreement shall be paramount.
(2) If I wish to open a bank in Ajman or to designate a bank outside the
sterling area for the purpose of receiving payments due to me under
the Concession, I undertake to obtain the approval of Her Majesty’s
Government beforehand.
(3) If it should prove necessary under clause (7) of Article 15 of the Political
Agreement that I should terminate my Agreement with the Company,
I undertake to accept the advice of Her Majesty’s Government in this
connection.

Concession Agreement between Petroleum Concessions Limited, and the Ruler
of Umm-al-Qaiwain, dated March 20, 1945
