Directors or at any special meeting of the Board of Directors if notice of such adoption, amendment
or repeal of the Bylaws be contained in the notice of such special meeting, subject to the right of the
members to adopt, amend or repeal the Bylaws, at any regular meeting of the members or at any
special meeting of the members if notice of such adoption, amendment or repeal of the Bylaws be
contained in the notice of such special meeting. Notwithstanding the foregoing, the Board of
Directors shall not adopt, amend, or repeal the Co-op’s Bylaws without providing at least twenty (20)
business days advance written notice of such proposed adoption, amendment, or repeal to the
members.
