27.0 NOTICES

                     Any notice or other communication to be given under this Agreement will be in writing and
                     delivered personally, by overnight messenger service, or by registered or certified mail,
                     postage prepaid, return receipt requested, addressed as follows:

               28.0 FORCE MAJEURE

                              28.1 Force Majeure.
               Each party will be excused on a day-to-day basis for failures or delays in performance caused by
               wars, fires, embargoes, any requirement of a governmental agency, natural disasters, or other
               similar types of causes beyond its reasonable control and that could not have been prevented
               through the use of commercially reasonable measures, provided the party so affected takes all
               reasonable steps to avoid or remove such cause of non-performance and resumes performance
               promptly whenever such causes are removed.  If any such delay continues for a period of six
               months or more or is reasonably expected to continue for six months or more, then either party
               may terminate this Agreement, without any further liability to the other party.
