The decision rendered by the arbitrator(s) shall be final and binding on the Parties, and judgment
may be entered in conformity with the decision in any court having jurisdiction. This agreement to
arbitration shall be specifically enforceable under prevailing arbitration law recognized under the
Laws of the State of New York and every other State. During the continuance of any arbitration
proceeding, the Parties shall continue to perform their respective obligations under this Agreement.
In the event of litigation to enforce or interpret this Agreement, the prevailing party(ies) in such
litigation will be entitled to recover from the losing party(ies) his, its or their reasonable attorney’s
fees and costs incurred in such litigation.
13.12. Entire Agreement.
This Agreement constitute the entire agreement with respect to the terms and provisions set forth
herein and revokes and supersedes all prior discussions, negotiations and agreements, whether
written or oral.
