This endorsement modifies insurance provided by the following:

Subguard Policy
It is agreed that:
Solely with respect to the coverage provided by this endorsement:
I. The following is added to Item 3.b. of the Declarations:
Claim Preparation Expenses Sublimit: $ 50,000 or N/A% of Loss, not including Claim Preparation
Expenses
II. Section II. DEFINITIONS is amended as follows:
A. The following is added to Subsection II.I. after Subsection II.I.3.:
Loss shall also include:
Claim Preparation Expenses, subject to the Claim Preparation Expenses Sublimit.

B. The following definition is added:
Claim Preparation Expenses means:
1. costs, charges and expense paid by you in the investigation, adjustment and defense of disputes related
directly to the Default; and

2. legal and other professional expenses paid by you and directly related to the Default subject to the rates
approved by us.

All other terms, conditions, provisions and exclusions of this policy remain the same.
