WHAT IS DUE DILIGENCE?
• Due diligence is the audit and investigation of the business of a target
company by an investor/purchaser for purposes of gathering and assessing
material information about the target to enable the investor/purchaser to
make an informed decision on whether or not to proceed, and the terms
on which it invest will proceeding with an investment in the target.
• The same principle applies to LPs seeking to invest in a fund.
