include such of the following matters as shall have been agreed with the buyer when accepting the Accepted Offer:
3.1.1 the completion date;
3.1.2 any necessary obligations for construction and subsequent adoption of any roads and/or utilities and/or amenities required to benefit any retained land and or any other land agreed by the Parties by Joint Decision and for the completion and provision of any necessary adoption agreements and any necessary bonds within reasonable time scales to be agreed and incorporated in the transfer or other relevant document;
3.1.3 security for performance of the buyer’s obligations particularly having regard to an assessment of the ability of the proposed buyer to carry out its obligations;
3.1.4 any necessary step in rights in default of performance of the buyer’s obligations;
3.1.5 obligations on the part of the buyer to pay additional sums if future value is realised by for example obtaining and implementing an improved planning permission or obtaining planning permission in respect of non- developable land;
3.1.6 a deposit of at least five per cent (5%) to be paid on unconditional exchange;
3.1.7 appropriate provisions for the payment and recovery of VAT;
3.1.8 specific obligations to be complied with by the buyer in relation to site maintenance/co-operation issues strategy etc and other co-operation obligations as may be reasonably required by the Owner and the Promoter;
3.1.9 an indemnity in favour of the Owner in respect of their obligations under any subsisting restrictive covenants affecting the Property and any relevant Planning Agreement;
3.1.10 that all monies payable pursuant to the Land Sale Documents shall be paid to the Owner’s Solicitors;
3.1.11 any necessary rights or easements required to benefit any retained parts of the Property and or any other land agreed by the parties by Joint Decision in order to use or develop the retained parts of the Property;
3.1.12 include covenants by the buyer to provide access and services to the boundary of any retained part(s) of the Property so as to facilitate its continued use and its future development for residential or commercial use;
3.1.13 enable the Promoter to promote the sale of any part of the Property retained by the Owner;
