3.2 The Land Sale Documents shall contain such other relevant terms and conditions as may be set out in the Accepted Offer or otherwise reasonably required by the Parties acting by Joint Decision.
3.3 The Parties will instruct the Promoter’s Solicitors to negotiate the Land Sale Documents, liaising with and obtaining the approval of the Owner’s Solicitors before the same are submitted to the buyer’s solicitors and ensuring that the approval of the Owner’s Solicitors is first obtained (such approval not to be unreasonably withheld or delayed), with the objective of agreeing Land Sale Documents that are in a form that complies with paragraphs 3.1 and 3.2 of this Schedule and such agreement is (subject to any variations agreed by the Parties during the course of the negotiations by Joint Decision) to be reached as expeditiously as reasonably possible (but without prejudicing the need to properly document the agreed Sale and to protect the Owner from future liability).
3.4 The Promoter will instruct the Promoter’s Solicitors to keep the Owner’s Solicitors fully informed with fortnightly updates as to progress with the negotiations relating to the Land Sale Documents and will provide the Owner’s Solicitors with copies of the travelling drafts of the Land Sale Documents.
3.5 In the event the Land Sale Documents are not exchanged within four (4) months of the date on which the acceptance of the Accepted Offer was communicated to the buyer the Parties may agree by Joint Decision to withdraw from the Sale and to remarket the Property and in the event that the Land Sale Documents are not exchanged within six (6) months of the date on which the acceptance of the Accepted Offer was communicated to the buyer either party may require that the Parties withdraw from the Sale and remarket the Property.
3.6 The Promoter’s Solicitors shall be instructed that once the form of the Land Sale Documents are agreed and provided they are in a form described in paragraph 3.3 the Promoter’s Solicitors shall circulate the Land Sale Documents for signature and the Parties will sign and return to the Owner’s Solicitors as soon as reasonably possible and will authorise the Owner’s Solicitors to exchange those Land Sale Documents and for the avoidance of doubt the Owner’s Solicitors shall have no authority to exchange the Land Sale Documents until they have confirmation in writing from the Promoter or the Promoter’s Solicitors that they are happy with the same in accordance with this Agreement.
3.7 Once exchanged the Parties shall in good faith co-operate to enforce the terms (as far as necessary) of the Land Sale Documents.
3.8 The Parties may by Joint Decision agree to vary the above procedure.
3.9 Any dispute regarding the Land Sale Documents shall be determined in accordance with clause 11.3.1 of this Agreement.
