A CHANGE IN GOVERNANCE
A n important change was introduced in 2017 with the formation of a separate Board of Trustees for the Phi
Kappa Phi Foundation. Previously, the Society Board of Directors served as the Foundation board. It had long
been the recommendation of legal counsel that a better arrangement would be to create a distinct board for
oversight of the Foundation.
In fall 2016 the Board of Directors approved a change in the Foundation bylaws that authorized the new Board of
Trustees, which met for the first time in February 2017. Chaired by Society past president Diane Smathers, the six-
member board serves as a supporting organization to the Society under the IRS code. Both are 501(c)(3) organizations.
The Foundation board will meet annually to review the programs that are funded by Foundation funds and to make
recommendations to the Board of Directors.
Members of the Board of Trustees hold three-year renewable terms. In addition to Dr. Smathers, they include
Donna Clark Schubert, attorney Erin McClernon, Daniel Beasley, Executive Director Mary Todd and Chief Financial
Officer Lourdes Barro. A seventh member will be elected by the 2018 convention.
