Terms and Conditions





        1. PROPOSAL: This Terms and Conditions of Sale is the final expression of the agreement between J.C. White
           Architectural Interior Products and Buyer.  This supersedes all prior written or oral statements regarding this
           order.

        2. CANCELLATION AND CHANGES: It is understood that this agreement cannot be cancelled or changed
           except by mutual written consent. The seller’s order confirmation is final and binding and any subsequent
           changes are subject to J.C. White’s ability to conform and are dependent upon manufacturer’s approval.
           Any resulting manufacturer’s cancellation charges and/or penalties shall be paid by the Buyer.


        3. DELIVERY AND INSTALLATION: In the event that delivery and installation is required as part of this proposal, the
           following provisions shall apply:
               A. J.C. White will inform Buyer of an estimated delivery date, when shipping estimation dates are
                  received from supplier or manufacturer.  It is understood by buyer that this is merely an estimate and
                  is subject to change by seller without penalty.
               B. All deliveries and installations are based upon normal business hours of 8:00AM and 4:00 PM, Monday
                  through Friday unless otherwise stated on this agreement.  Buyer is responsible for overtime premium
                  for work performed outside of normal business hours.
               C. J.C. White will be responsible for receiving, warehousing, uncrating, delivery, installation and proper
                  operation and performance of the merchandise covered by this proposal. J.C. White will furnish all
                  labor, tools and equipment necessary to complete the installation of the merchandise.
               D. The job site shall be clean, clear and free of debris prior to installation.  The site must be free of all
                  other trades and construction debris.  The Buyer must provide adequate electrical current, elevator
                  service and a secure staging area during the course of the installation. Buyer is responsible for
                  scheduling all elevators, elevator operators, hoisting, loading docks and any other building services
                  needed.
               E. Hardwiring of electrical is not included and must be supplied by a licensed electrician. Any fees or
                  permits required for installation are at the Buyer’s expense.
               F.  It is the responsibility of the Buyer to be present at time of delivery and installation to acknowledge
                  receipt and condition of product. Buyer’s failure to sign may result in redelivery at an additional cost
                  to the buyer.  After arrival at the site, any loss or damage to the merchandise by weather, other
                  trades such as painting or plastering, thefts, fire or other elements, shall be the responsibility of the
                  Buyer and the Buyer agrees to hold J.C. White harmless from loss for such reasons.
               G. J.C. White shall not be liable for delays in delivery occasioned by causes beyond Seller’s control,
                  including without limitation, losses due to strikes, lockouts, fire, embargoes, war or other outbreaks of
                  hostilities, Acts of God, machinery breakdowns or other causes beyond its control.

        4. PROGRESS PAYMENT: All orders are subject to a deposit to process the order.  Buyer shall pay to J.C. White
           simultaneous with the execution of this proposal, the sum of (50 %) $$$$$$$$$ of the total order at time of
           purchase which sum shall be credited toward the total purchase price of the merchandise ordered. Balance
           of product, including all applicable sales tax are due upon delivery.


        5. Payment:
               A. Items will be invoiced as delivered, complete or installed and must be paid accordingly.  Buyer
                  agrees that payment will be made on all partial deliveries as items are delivered.
               B. If any item is shipped in error or damaged in transit or wrong for any reason, of course this item will not
                  be invoiced, and in no way is the Buyer responsible for payment until the correct item is delivered.
                  But, in no way do the items in error delay payment of invoices for other product that is correct and
                  delivered.
               C. Terms are: Balance COD Upon Delivery of Product
               D. Customer progress payment will be applied on each invoice in relationship to items on back-order.
               E. All state and local sales taxes will be included on the invoice unless Buyer provides a current sale tax
                  exemption certificate.
